1. Agreement to Terms

By accessing or using the NovaOps AI platform and services (collectively, "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services. These Terms constitute a legally binding agreement between you and NovaOps AI.

2. Description of Services

NovaOps AI provides an AI-powered business automation platform including:

• AI automation systems (appointment setting, lead follow-up, CRM automation, SMS, lead qualification, voice AI)
• LaunchpadNova AI tools for founders (idea validation, pitch building, customer finding, content creation)
• Done-for-you implementation, configuration, and ongoing optimization services
• Analytics, reporting, and performance monitoring

3. Account Registration

To access certain Services, you must create an account. You agree to:

• Provide accurate, complete, and current registration information
• Maintain the security and confidentiality of your account credentials
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities that occur under your account

You must be at least 18 years old and authorized to enter into legally binding contracts to create an account.

4. Payment and Billing

Subscription Plans: Paid plans are billed on a monthly or annual basis as selected. Prices are displayed in USD. We reserve the right to change pricing with 30 days' notice.

30-Day Satisfaction Guarantee: If you are not satisfied within the first 30 days of a paid plan, you may request a full refund. After 30 days, payments are non-refundable except as required by law.

Cancellation: You may cancel your subscription at any time. Access continues until the end of your current billing period. No refunds are issued for partial periods after the 30-day guarantee window.

Late Payments: We reserve the right to suspend or terminate accounts with overdue payments after a 5-day grace period and notification.

5. Acceptable Use

You agree not to use the Services to:

• Send unsolicited bulk messages (spam) in violation of applicable laws including CAN-SPAM and TCPA
• Violate any applicable law, regulation, or third-party rights
• Transmit false, misleading, or deceptive content
• Engage in any activity that could harm the platform, other users, or third parties
• Attempt to reverse engineer, decompile, or extract source code from the platform
• Use the platform for any illegal purpose or to facilitate illegal activity
• Impersonate any person or entity or misrepresent your affiliation

6. Compliance with Communication Laws

You are solely responsible for ensuring your use of our SMS, email, and voice communication features complies with applicable laws including TCPA (US), CAN-SPAM Act, GDPR (EU), CASL (Canada), and any other applicable regulations. NovaOps AI is not responsible for your compliance with such laws.

You must obtain proper consent before sending automated messages to your contacts and maintain adequate opt-out mechanisms.

7. Intellectual Property

The NovaOps AI platform, including its software, design, and content, is owned by NovaOps AI and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes.

You retain ownership of content you create or upload to the platform. By uploading content, you grant us a limited license to use it to provide and improve the Services.

8. Confidentiality

Both parties agree to maintain the confidentiality of the other's non-public, proprietary information. We will not disclose your business data or customer information except as described in our Privacy Policy or required by law.

9. Disclaimers and Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET YOUR SPECIFIC REQUIREMENTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOVAOPS AI'S LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR USE OF THE SERVICES SHALL NOT EXCEED THE FEES PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

We do not guarantee specific results from using our automation systems. Revenue outcomes depend on many factors including your business model, market conditions, lead quality, and sales process.

10. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or conduct that harms the platform or other users. Upon termination, your access to the Services will cease and we may delete your data in accordance with our Privacy Policy.

11. Governing Law

These Terms are governed by the laws of the jurisdiction where NovaOps AI is incorporated, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration, except for claims eligible for small claims court.

12. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or prominent notice on the platform at least 14 days before taking effect. Continued use after changes constitutes acceptance.
